How Stock Option Grants Work

By accepting this policy and entering into an employment relationship with us, you acknowledge and agree that:

  • We may grant you stock options to purchase shares of our common stock, at a price that is determined by our board of directors and that is consistent with applicable laws and regulations.
  • The number of stock options that we grant to you, and the terms and conditions of such options, will be determined by our board of directors and will be based on factors such as your position, your performance, and the stage of our company.
  • The stock options that we grant to you will vest over a period of four years, with a one-year cliff. This means that 25% of the options will vest on the first anniversary of the grant date, and the remaining 75% will vest in equal monthly installments over the following three years.
  • You will have the right to exercise your vested options at any time during the term of the options, subject to the terms and conditions of the option grant agreement and the applicable stock plan.
  • You will not have any rights as a shareholder of our company until you exercise your options and purchase the underlying shares of our common stock.
  • We may terminate your employment at any time, for any reason (with or without cause), and without advance notice. If your employment is terminated, your stock options will be treated in accordance with the terms and conditions of the option grant agreement and the applicable stock plan.
  • We may amend or terminate the stock option grant program at any time, and any such amendment or termination will be effective upon notice to you.
  • You will be responsible for paying any taxes or fees that may be due in relation to the grant or exercise of your stock options.
